Service Agreement for SAAS Tool - Digital Marketing Spend Tracking and Invoice Management

This Service Agreement ("Agreement") is made and entered into as of the date mentioned above, between LikeCard Electronic cards trading , hereinafter referred to as the "Service Provider," and subscriber, hereinafter referred to as the "Client." Both parties agree to the following terms and conditions governing the use of the SAAS tool provided by the Service Provider:

1. Services Provided: The Service Provider agrees to grant the Client access to its Software-as-a-Service (SAAS) tool, hereinafter referred to as the "Tool." The Tool is designed to facilitate the tracking of digital marketing spend and invoice management for the Client's business.

2. Digital Marketing Spend Tracking: The Tool enables the Client to track and manage digital marketing spend by connecting to various API connectors, including Fivetran or self-built APIs. The Service Provider will assist the Client in setting up these connections to relevant suppliers and vendors.

3. Invoice Management: The Tool allows the Client to upload invoices received from vendors to the platform. The Service Provider will provide support and guidance to ensure smooth invoice processing within the Tool.

4. Flow Facilitation: The Tool acts as a facilitator between the Client and its suppliers/vendors. It assists in the smooth flow of data between both parties, enabling efficient communication and reporting.

5. Limitation of Responsibility: The Service Provider is not responsible for any mistakes, errors, or inaccuracies in the data provided by the suppliers/vendors or the Client itself. The Tool acts as an intermediary and does not guarantee the accuracy of the information received.

6. Data Security and Confidentiality: The Service Provider shall take reasonable measures to safeguard the Client's data stored on the Tool and shall not disclose any confidential information to third parties without the Client's explicit consent.

7. Subscription Period and Payment: The initial subscription period shall be [mention the duration, e.g., monthly or annually]. The Client shall pay the agreed-upon subscription fee, as stated in the pricing agreement, for the use of the Tool. 10. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of Dubai, United Arab of Emirates . Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Dubai, United Arab Emirates.

By accessing and using the SAAS Tool provided by LikeCard Electronic cards trading, you acknowledge that you have read, understood, and agreed to the terms and conditions of this Service Agreement.
